By accessing or using DriverShield ("Service"), operated by TDG Freight ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

DriverShield is an AI-powered advisory service that provides guidance, information, and analysis related to the trucking industry, including but not limited to contract analysis, rate negotiations, compliance guidance, and claim prevention strategies.

3. Not Legal Advice - Critical Disclaimer

• We are not a law firm and do not provide legal representation
• No attorney-client relationship is created by using this Service
• Information provided may not reflect the most current legal developments
• You should consult with a qualified attorney for legal advice specific to your situation

4. No Guarantees or Warranties

WE MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES REGARDING:

• The accuracy, completeness, or reliability of any information provided
• Any specific outcomes, results, or financial benefits from using the Service
• The success of any negotiation, dispute resolution, or business decision
• The avoidance of any claims, penalties, fines, or legal issues

All information is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, either express or implied.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• We are not liable for any decisions you make based on information from the Service
• We are not responsible for any business losses, lost profits, lost revenue, or opportunity costs

6. Indemnification

You agree to indemnify, defend, and hold harmless TDG Freight, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any decisions or actions you take based on information from the Service
• Any disputes with brokers, shippers, or other third parties

7. Proprietary Information

Our rate data, lane information, analysis methodologies, and other proprietary information are:

• Compiled from multiple sources and proprietary analysis
• Protected as trade secrets and confidential business information
• Licensed to you for personal use only
• Not to be shared, redistributed, or used commercially without written permission

8. AI System Limitations and User Responsibilities

8.1 Nature of AI Technology

DriverShield uses artificial intelligence (AI) technology to provide guidance and information. While we strive for accuracy, AI systems can:

• Make mistakes or provide incorrect information
• Misinterpret complex questions
• Generate responses that may not apply to your specific situation
• Occasionally provide guidance that conflicts with applicable laws or regulations

8.2 AI Hallucinations and Errors

AI systems, including DriverShield, can experience what are known as "hallucinations" - instances where the AI generates plausible-sounding but incorrect or fabricated information. This is an inherent limitation of current AI technology and can occur despite our best efforts to prevent it through system design and prompting.

8.3 User Verification Responsibility

YOU ARE RESPONSIBLE FOR:

• Verifying all information provided by DriverShield
• Ensuring compliance with all applicable federal, state, and local laws
• Understanding FMCSA regulations that apply to your operations
• Consulting appropriate professionals (attorneys, accountants, mechanics) for specific guidance
• Using your own judgment and experience when making business decisions

8.4 Not a Substitute for Professional Advice

DriverShield is NOT:

• A licensed attorney providing legal advice
• A certified mechanic providing mechanical diagnosis
• A licensed insurance agent providing coverage advice
• A substitute for reading and understanding your contracts
• A guarantee of any particular outcome or result

8.5 Contract and Legal Compliance

DriverShield provides general guidance about contracts and regulations. However:

• You must read and understand all contracts before signing
• You are responsible for complying with all signed agreements
• DriverShield cannot and does not provide legal representation
• AI-generated contract analysis may miss critical clauses or misinterpret terms

8.6 Questioning AI Responses

If you receive a response from DriverShield that seems:

• Contradictory to known laws or regulations
• Potentially illegal or unethical
• Inconsistent with previous guidance
• Unclear or confusing

STOP and contact support@drivershield.ai with:

• Your specific question
• The AI response you received
• Why you believe it may be incorrect

We will review and provide clarification within our support response timeframes.

8.7 No Liability for AI Errors

To the maximum extent permitted by law, DriverShield and its operators are not liable for:

• Incorrect information provided by the AI system
• Business decisions made based on AI guidance
• Legal consequences of following AI-generated advice
• Financial losses resulting from AI recommendations
• Any other damages arising from AI system errors or limitations

8.8 Continuous Improvement

We continuously work to improve DriverShield's accuracy and reliability. However, no AI system is perfect. Your feedback about incorrect or problematic responses helps us improve the system for all users.

8.9 Emergency Situations

NEVER rely solely on DriverShield for:

• Emergency medical situations
• Immediate safety threats
• Time-critical legal matters
• Situations requiring immediate professional intervention

Contact appropriate emergency services, legal counsel, or other professionals immediately in urgent situations.

9. User Conduct

You agree NOT to:

• Share your account credentials with others
• Use the Service for any illegal purpose
• Attempt to reverse engineer, decompile, or extract our proprietary data
• Use automated systems to scrape or download Service content
• Resell, redistribute, or commercialize any Service information
• Use the Service to harass, threaten, or harm others

10. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or suspicious activity
• Non-payment of subscription fees
• Any reason we deem appropriate in our sole discretion

11. Subscription and Payment

• Subscriptions are billed monthly as selected
• All fees are non-refundable - we do not offer refunds or credits for partial months
• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• You will retain access until your paid period ends
• We may change pricing with 30 days notice to existing subscribers
• You authorize us to charge your payment method automatically
• Failed payments may result in immediate service suspension

12. Arbitration and Dispute Resolution

• Any dispute arising from these Terms or the Service shall be resolved through binding arbitration
• Arbitration shall be conducted under the American Arbitration Association rules
• You waive your right to participate in class action lawsuits
• Arbitration shall be conducted in New York
• Each party bears their own costs unless otherwise awarded by arbitrator

13. Intellectual Property

All Service content, including but not limited to text, software, scripts, code, designs, graphics, logos, and trademarks, are owned by TDG Freight or our licensors and are protected by copyright, trademark, and other intellectual property laws.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending email notification to your registered email address
• Displaying a notice when you log in to the Service

Continued use of the Service after changes constitutes acceptance of the modified Terms.
